Refund and Cancellation Policy

Policy Overview

This Refund and Cancellation Policy establishes the guidelines and procedures governing cancellations, refund eligibility, and payment obligations for services provided by Deltanoid. This document reflects the necessity of maintaining operational integrity, efficient resource allocation, and adherence to project timelines. By initiating any payment, clients implicitly agree to all terms and conditions set forth in this policy. The complexity of these terms ensures that all engagements are transparent, fair, and mutually accountable while protecting Deltanoid’s professional interests.

1: Payment Terms and Obligations

1. Milestone-Based Payment Structure:

  • All projects are divided into milestones, with payments corresponding to each phase of work. Payments are due within five (5) working days of receiving the milestone completion notification from Deltanoid.
  • Failure to make payments within this period may result in the suspension of work until the pending amount is settled. Clients acknowledge that such delays may lead to rescheduling of project timelines, and Deltanoid shall bear no responsibility for resulting delays or consequences.
  • The determination of milestone completion is at Deltanoid’s sole discretion and will be based on deliverables as specified in the initial project agreement.

2. Pending and Outstanding Payments:

  • An invoice is considered outstanding if not paid within 14 calendar days from the due date specified in the invoice or contract.
  • Outstanding payments will incur a late payment fee of 2% per month, calculated from the due date until the payment is cleared.
  • If an invoice remains unpaid for 30 days, Deltanoid reserves the right to:
    • Suspend all project activities.
    • Retain ownership of all deliverables until the outstanding amount is settled.
    • Pursue legal or recovery actions, with all associated costs borne by the client.
  • Clients are encouraged to communicate potential payment delays promptly with their assigned account manager to avoid penalties or service disruptions.

3. Advance Payments for Minor Updates:

  • Any request for updates or modifications that fall outside the agreed project scope requires full payment in advance.
  • Requests for such updates must be submitted in writing via email to ensure proper documentation and tracking. Requests submitted through informal channels will not be considered valid.

2: Cancellation Policy

2.1 Valid Cancellation Requests

  • Cancellations must be initiated through a formal written request submitted to connect@deltanoid.in.
  • Verbal requests, messages via phone calls, or informal communication channels are invalid and will not be considered binding.
  • The cancellation request must include the following:
    • Project name and reference number.
    • A detailed explanation of the reason for cancellation.
    • Proof of payments made, including transaction references.

2.2 Review and Acknowledgment

  • Upon receiving a valid cancellation request, Deltanoid will initiate a comprehensive internal review to evaluate:
    • Project progress relative to the agreed milestones.
    • Resource hours expended and costs incurred.
    • Third-party expenses associated with the project.
  • The client will receive an acknowledgment within five (5) business days, outlining the status of the cancellation, the refund amount (if any), and any deductions applied.

3: Refund Eligibility and Conditions

1. Pre-Commencement Cancellation:

  • If the cancellation request is received before any project work has commenced, a refund of up to 75% of the amount paid may be processed.
  • A 25% deduction will be applied to cover administrative costs, resource allocation preparations, and any initial planning activities.

2. Partial Work Cancellation:

  • For cancellations initiated after work has commenced but before significant progress is made, a refund of up to 50% may be granted.
  • The definition of “significant progress” is determined solely by Deltanoid based on project milestones, deliverables, and the complexity of tasks completed.
  • Deductions will be applied for administrative fees, resource hours utilized, and any third-party services procured up to that point.

3. Advanced-Stage Cancellation:

  • If the cancellation request is received after more than 50% of the project work is completed or if the project is in its final development stage, no refund will be processed.
  • Clients acknowledge that at this stage, substantial work, time, and resources have been invested, making the costs non-recoverable.

4. Third-Party Expenses:

  • Payments made for third-party services, including but not limited to:
    • Domain registration or renewal.
    • Hosting services.
    • Licensing fees for software or tools.
  • These payments are non-refundable under any circumstances, as they are governed by third-party provider terms and conditions.

4: Client-Induced Delays and Non-Compliance

  • If the client fails to provide required materials, feedback, approvals, or any other inputs necessary for project progress within seven (7) working days of a request, Deltanoid reserves the right to:
    • Pause the project indefinitely until the required inputs are received.
    • Charge additional fees for project resumption or any reallocation of resources necessitated by the delay.
  • No refunds will be issued for cancellations resulting from client non-compliance, lack of communication, or undue delays.

5: Dispute Resolution and Jurisdiction

  • Disputes related to cancellations, refunds, or payments will be addressed first through internal review and mediation.
  • If unresolved, the matter will be escalated to arbitration under the jurisdiction of Bengaluru, Karnataka.
  • Both parties agree that arbitration outcomes shall be final and binding.
